Terms of Service

By accessing or using the services provided by Green Lightings ("Company," "we," "us," or "our"), including our website, products, and OEM/ODM manufacturing services, you ("Client," "Customer," or "you") agree to be bound by these Terms of Service ("Terms").

These Terms constitute a legally binding agreement between you and Green Lightings, a professional industrial lighting manufacturer located in Xiaolan, Zhongshan, Guangdong, China. If you do not agree to these Terms, you must not use our services.

Important: Our services are exclusively designed for B2B (business-to-business) partnerships. We do not engage in retail sales to individual consumers.

Our services are exclusively available to qualified business entities, including but not limited to:

• International lighting brands and distributors
• Wholesalers and importers in industrial supplies
• Engineering firms and project contractors
• System integrators requiring custom luminaires
• OEM/ODM partners seeking manufacturing services

You must provide valid business credentials and demonstrate legitimate commercial intent to establish a partnership with us. We reserve the right to verify your business status and decline service to entities that do not meet our B2B criteria.

Green Lightings provides comprehensive OEM (Original Equipment Manufacturer) and ODM (Original Design Manufacturer) services for industrial lighting solutions, including:

All OEM/ODM projects require formal agreements specifying technical requirements, quantities, timelines, and intellectual property arrangements. Custom engineering services may involve additional fees and extended development periods.

All orders are subject to our acceptance and availability. Pricing is provided on a project-by-project basis and may vary based on:

• Order quantities and volume commitments
• Customization requirements and complexity
• Raw material costs and market conditions
• Delivery timelines and shipping requirements

All prices are quoted in USD unless otherwise specified. We reserve the right to adjust pricing due to significant changes in material costs or exchange rates with reasonable notice.

Green Lightings is committed to delivering high-quality industrial lighting products that meet international standards and client specifications.

Standard Warranty: We provide a 3-5 year limited warranty on manufacturing defects for standard products. Custom OEM/ODM products may have different warranty terms as specified in individual agreements.

Warranty coverage includes repair or replacement of defective products but excludes damage from misuse, improper installation, or environmental factors beyond product specifications.

All intellectual property rights in our standard products, designs, and manufacturing processes remain the exclusive property of Green Lightings. For OEM/ODM projects:

• Client-provided designs and specifications remain client property
• Jointly developed innovations require separate IP agreements
• We respect client confidentiality and non-disclosure requirements
• Manufacturing know-how and processes remain our proprietary information

We maintain strict confidentiality regarding client projects, specifications, and business information. All employees and partners are bound by confidentiality agreements.

Green Lightings coordinates international shipping from our facility in Zhongshan, China, to global destinations. Standard shipping terms and risk transfer conditions include:

Risk of loss transfers to the buyer according to the agreed Incoterms. We provide comprehensive packaging and documentation for international shipments, including commercial invoices, packing lists, and certificates of origin.

Delivery dates are estimates based on normal production and shipping conditions. We are not liable for delays caused by force majeure events, customs clearance, or circumstances beyond our reasonable control.

To the maximum extent permitted by applicable law, Green Lightings' total liability for any claims arising from or related to our products or services shall not exceed the total amount paid by the client for the specific products or services giving rise to the claim.

This limitation applies even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

Our liability for product defects is limited to repair, replacement, or refund as specified in our warranty terms. Installation, labor, and consequential costs are not covered unless explicitly agreed in writing.

These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

For international clients, we may agree to alternative dispute resolution mechanisms, including international arbitration under ICC or SIAC rules, as specified in individual contracts.

Any legal action must be commenced within one (1) year after the cause of action accrues, or such action shall be permanently barred.
